1. Introduction
Welcome to Allgreen Castile Soap’s wholesale website, operated by Star Kimya San. Ltd. Şti. These Terms & Conditions (“Terms”) govern all wholesale purchases made through our website, by email, or via direct communication. By placing a wholesale order, you confirm that you have read, understood, and agree to be bound by these Terms.
2. Eligibility for Wholesale Purchase
Wholesale purchasing is available only to registered businesses, distributors, and resellers. We reserve the right to request business registration documents and to refuse any order that does not meet our wholesale requirements.
3. Minimum Order Quantity (MOQ)
The standard MOQ for wholesale orders is 1000 unit /kg.
Orders below MOQ will not be accepted unless prior written agreement has been made.
4. Prices and Payment
All prices are listed in USD or EUR and are exclusive of VAT, customs duties, and shipping costs, unless otherwise stated.
We reserve the right to adjust prices without prior notice due to raw material costs, currency fluctuations, or other market factors.
Payment must be made in full prior to shipment unless a written credit agreement is in place.
Accepted payment methods: Bank transfer, SWIFT.
5. Order Process
Orders can be placed via our wholesale website, email, or authorized sales representatives.
Once your order is confirmed, a proforma invoice will be issued.
Orders will only be processed upon receipt of payment (unless on credit terms).
Any changes to an order must be requested in writing before production begins.
6. Shipping & Delivery
Delivery terms follow Incoterms® 2020 unless otherwise agreed.
Shipping costs, insurance, and customs duties are the buyer’s responsibility unless otherwise stated in the invoice.
We are not responsible for delays caused by carriers, customs, or force majeure events.
Risk of loss or damage passes to the buyer upon delivery to the carrier.
7. Inspection and Acceptance of Goods
The buyer must inspect all goods upon receipt.
Any discrepancies, damages, or defects must be reported in writing within 7 business days of delivery.
Failure to notify within this period constitutes acceptance of the goods.
8. Returns & Refunds
Due to the nature of wholesale transactions, returns are only accepted for defective products or incorrect shipments.
Custom-labeled or private label orders are non-refundable.
Approved returns must be sent back in original packaging, unused, and at the buyer’s expense unless otherwise agreed.
9. Intellectual Property
All content, trademarks, product designs, and packaging associated with Allgreen Castile Soap remain the exclusive property of Star Kimya San. Ltd. Şti. Unauthorized reproduction, modification, or use is strictly prohibited.
10. Limitation of Liability
Our liability for any claim related to the goods supplied shall not exceed the purchase price of the goods in question. We shall not be liable for indirect, incidental, or consequential damages.
11. Force Majeure
We shall not be held responsible for delays or failure to perform due to causes beyond our reasonable control, including but not limited to natural disasters, government actions, labor disputes, or transportation issues.
12. Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of Turkey. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ankara, Turkey.
13. Amendments
We reserve the right to update these Terms at any time without prior notice. The updated version will be posted on our website and will take effect immediately upon publication.
